Too many boards operate without knowing where they stand legally. Bylaws go years without review, policies conflict with provincial or federal legislation, and board members make decisions without understanding their fiduciary responsibilities.

Jeff Kiers

I didn't come to governance work through a textbook. I came to it through 15 years of board service — the kind where you learn what works by watching what doesn't.

I served on two boards over that time: Shiloh and Vanguard College. I chaired the governance committee on both, and spent two and a half years as Board Chair at Shiloh. Those weren't ceremonial roles. They were the kind of seats where you deal with real tension between boards and operations, where the difference between clear governance and no governance shows up in people's careers and livelihoods.

I've watched good organizations lose good people — not because anyone had bad intentions, but because nobody built the structure to match the mission. Roles were unclear. Policies were missing or ignored. Boards overstepped without realizing it. Executives operated without the boundaries they needed to do their jobs well. And by the time anyone noticed, the damage was already done.

That's why I started Jeffrey Kiers Governance Solutions. I work with nonprofit boards and mission-driven organizations across Alberta to build governance that actually functions — clear roles, practical policies, and the kind of structure that protects both the board and the people they lead.

I'm not here to add bureaucracy. I'm here because I've sat in the chair, I've seen what happens when governance gets skipped, and I believe every organization deserves better than learning that lesson the hard way.
